BY ENTERING INTO AN ORDER OR OTHER AGREEMENT WHICH INCORPORATES OR REFERENCES THIS AGREEMENT, BY CLICKING TO ACCEPT THIS AGREEMENT OR ACCESSING OR USING ANY GWI SERVICES, YOU ARE ACCEPTING ALL OF THE TERMS AND CONDITIONS OF THIS AGREEMENT. THIS AGREEMENT IS LEGALLY BINDING. IF YOU DO NOT AGREE TO THIS AGREEMENT, YOU MUST NOT USE ANY SERVICES.
1. SCOPE AND INTERPRETATION
These GWIQ Product Specific Terms (“GWIQ T&Cs”) supplement the Main T&Cs and the R&I Services Product Specific Terms under which GWI provides its GWIQ Services. Defined terms shall have the meaning set out below. Any terms used but not defined below shall have the meaning as set out in the relevant Product Specific Terms or Main T&Cs.
Appended Data: means log files, cookie data, and any other data or Materials, in relation to the Website Users who have consented to the dropping and use of the GWIQ Cookie, that is generated, provided, or collected by GWI;
GWIQ Cookie: means GWI’s web cookie that collects the Appended Data to establish connections between our survey respondents and your adverts or websites to report to you on (a) audience validation; (b) advertising effectiveness; and (c) website use, and such other cookie(s) and similar tracking technologies GWI may notify to you from time to time that collects the Appended Data;
GWIQ End Points: means the respective GWI API end points for Website Users;
Tag: means the tag provided by GWI to you for inclusion on your website in the GWI predefined format or Javascript instructions to permit the redirection to GWIQ End Points;
Website Users: means individuals who use your website on which you have included a Tag; and
Your GWIQ Service: means you redirecting the Website Users via the Tag placed on your website to GWIQ End Points as part of your separate relationship with the Website Users.
2. SCOPE OF SERVICES
2.1. These GWIQ T&Cs apply to GWIQ Services only, and are incorporated into, and forms a part of, the R&I Services Product Specific Terms and the remainder of your Agreement with GWI (including the Main T&Cs and any other applicable Product Specific Terms and Orders).
2.2. In providing the GWI Services, GWI shall:

- 2.2.1. provide you with a Tag, for inclusion by you on your website;
- 2.2.2. collect the Appended Data via the GWIQ Cookie (subject to you having correctly implemented the Tag, and having displayed appropriate notice and obtained all required consents and permissions in accordance with clause 3.4 on your website); and
- 2.2.3. process the Appended Data to enhance our provision of R&I Data to you under the Agreement relating to (a) audience validation; (b) advertising effectiveness; and (c) website use.
2.3. GWI shall provide links to its Survey Cookie Notice and Survey Privacy Notice, and any necessary information as reasonably requested to support you to update your privacy notice to Website Users.
3. PERSONAL DATA
3.1 The following terms in these GWIQ T&Cs shall have the meanings given to them in the Data Protection Legislation: controller, data subject, personal data, process (and processed/processing shall be construed accordingly), special category data, and personal data breach.
3.2 The Parties acknowledge and agree that, for the Your GWIQ Services, you are an independent controller responsible for providing notice to and obtaining consent from your Website Users, and transmitting their Appended Data to GWI by redirecting them to the appropriate GWI End Point.
3.3 The Parties acknowledge and agree that GWI receives and further processes the Appended Data in the role of independent Controller. The Parties acknowledge that the R&I Data provided to you is aggregated and anonymous.
3.4 You shall display appropriate notices, implement and maintain a consent mechanism, and obtain valid consent covering (a) the use of the GWIQ Cookie, (b) the collection and transmission of the Appended Data to GWI, and (c) GWI’s subsequent processing of the Appended Data in connection with Your GWIQ Services, on behalf of both yourself and GWI that comply with all applicable Data Protection Legislation. In particular you shall ensure consent is freely given, specific, and informed, and that the consent mechanism shall:
- 3.4.1. name the controller of your website and link to your website privacy and cookie information (which shall include a description of the GWIQ Cookie and processing of personal data in connection with the GWIQ Services in compliance with Data Protection Legislation);
- 3.4.2. name GWI and link to the GWI Survey Privacy Notice and Survey Cookie Notice;
- 3.4.3 provide clear and comprehensive information regarding the purposes for which the Appended Data is used, and (either in the consent mechanism or in the linked-to transparency information) the nature of the GWI Cookie and the duration for which the GWIQ Cookie is stored on the Website User’s device;
- 3.4.4. explicitly refer to the Website User’s ability to withdraw consent at any time;
- 3.4.5. provide a means for the Website User to withdraw their consent at any time as easily as it was to give it, and you shall link to this functionality from relevant sections of the website (including from the website footer); and
- 3.4.6. If a Website User withdraws consent using the link or functionality you make available on your website in accordance with clause 3.4.5 you will ensure GWI is immediately provided with an opt-out signal via the relevant GWIQ End Point.
3.5 If in the future GWI determines it will only accept the TC String as defined and in accordance with the IAB’s Transparency and Consent Framework (“TCF”) as evidence of valid consent, GWI reserves the right to require you to deploy a consent mechanism capable of sending GWI the TC String in compliance with the requirements of the latest version of the TCF in order to continue to receive the GWIQ Services. GWI will give you reasonable prior written notice of this change should this situation arise.
3.6 Upon GWI’s request at any time, you shall promptly provide evidence that the consent of the relevant Website User for the use of the GWIQ Cookie has been obtained in a manner compliant with Data Protection Legislation and in accordance with clause 3.4, including documentary evidence of the wording of the consent and the date and time at which the consent was obtained. GWI shall have the right to audit your compliance with these GWIQ T&Cs in particular this clause and with the other requirements of clauses 3.4-3.7 (Notice and consent) upon reasonable notice. Your failure to comply with an audit request or to provide evidence of valid consent, as required under this clause, shall be deemed a material breach of the Agreement. In such an event, and without prejudice to its other rights and remedies, GWI may, at its sole discretion, terminate the GWIQ Services and/or the Agreement.
3.7 You shall ensure that the GWIQ Cookie is only placed on a Website User’s device, and results in Appended Data being sent to GWI, where the Website User has been displayed with appropriate notice and provided valid consent compliant with Data Protection Legislation in accordance with clause 3.4. If you become aware that this is not the case for any specific Website User or group of Website Users, you shall immediately ensure the GWIQ Cookie is no longer stored on the relevant Website User’s device and you shall promptly notify GWI. You agree to indemnify and hold harmless GWI against all losses, damages, costs, or expenses incurred by GWI arising from your breach of this clause 3.7 and clause 3.4 (Notice and Consent).
4. YOUR PERSONAL DATA COMMITMENTS
4.1 For Your GWIQ Services, you represent and warrant that you have ensured, and shall continue to ensure, that:
- 4.1.1 You have obtained all necessary consents and permissions from the Website Users to permit GWI to provide the GWIQ Services in the manner set out in this Agreement;
- 4.1.2 You shall not provide to GWI Appended Data which you know or ought reasonably to know relates to Website Users under the age of 18.
- 4.1.3 You represent and warrant that you will not implement the Tag on any website directed to or marketed at Website Users under the age of 18;
- 4.1.4 You shall not provide to GWI, Appended Data which is (or could reasonably be used to infer) special category data;
- 4.1.5 If you receive a complaint, notice, or other communication from a regulatory or governmental body or a data subject relating to the GWIQ Services (a “Communication”), you shall promptly inform GWI in writing with a copy of such Communication and provide GWI with reasonable assistance in responding;
- 4.1.6 If you become aware that a personal data breach has occurred in relation to the GWIQ Services, you shall promptly inform GWI in writing with details of the breach and provide GWI with reasonable assistance in mitigating the breach and (where required) notifying the breach to regulators and/or data subjects;
- 4.1.7 You provide GWI with all other reasonable assistance to enable GWI to comply with its obligations under Data Protection Legislation, and ensure you do not cause GWI to breach Data Protection Legislation through any act or omission; and
- 4.1.8 You comply with all Data Protection Legislation and any regulatory and sector guidance and best practice.
